Linklaters has advised Cummins Inc. on the acquisition of parts of Faurecia’s exhaust aftertreatment business. The transaction includes production facilities in Roermond (Netherlands), Columbus, Indiana (USA) and related activities, particularly in Germany and France.

Faurecia, a FORVIA Group company, is a long-term partner and supplier of Cummins. Through the transaction, Cummins acquires additional engineering and manufacturing resources and expands its existing product portfolio.

Following receipt of customary conditions, in particular receipt of the relevant clearances in the USA, Germany and the Netherlands, the transaction was completed in early October 2023.

Cummins Inc. is a global leader in power technology that designs, manufactures, sells and services a diverse portfolio of power solutions. The company’s products range from integrated combustion, electric and hybrid power solutions to components such as filtration, aftertreatment, turbochargers, fuel systems, control systems, ventilation systems, automated transmissions, power generation systems, microgrid controls, batteries, and fuel cell products. Cummins employs around 73,600 people.

Linklaters advised Cummins under the leadership of Kristina Klaaßen-Kaiser (Partner, European Head of Corporate/M&A, Düsseldorf) and Sebastian Klingen (Counsel, Corporate/M&A, Düsseldorf) as Lead Counsel with an international and cross-practice team.
