Ericsson’s Board of Directors comments on AGM 2023

At Ericsson’s 2023 Annual General Meeting, Board members were elected in accordance with the Nomination Committee’s proposal and in addition, a majority voted for discharge from liability for the Board of Directors and the President. A minority representing at least 10% of the total number of shares in the Company voted against discharge of liability for the Board, except for representative Carolina Dybeck Happe and deputy employee representative Annika Salomonsson.

The newly elected Chair of the Board, Jan Carlson, commented after the general meeting: “Ericsson’s Board of Directors remains fully committed to actively overseeing the execution of the company’s business strategy and culture transformation. In addition, Börje Ekholm and his leadership team have our full support. We fully acknowledge the concern of the minority, and while the vote does not necessarily predicate or lead to legal action, we take this concern extremely seriously. It is for this reason that the Board has, and continues to take, extensive action to enhance governance and compliance at Ericsson. We will also continue our close and ongoing dialogue with our owners as we continue to build a stronger Ericsson.”
